Distance Sales Agreement and Pre-contract Information

1. Parties

SELLER: Utron Mühendislik İthalat İhracat Sanayi ve Ticaret Anonim Şirketi (“Utronix”). MERSIS No: 0897102559700001. Trade Registry No: 1105296. Tax Office / No: Zincirlikuyu VD / 8971025597. BUYER: the natural or legal person identified by the name or company name, invoice and delivery address, email and phone you enter in the order system when ordering. This information appears in the order summary and the order confirmation email.

2. Definitions

• Law: Consumer Protection Law No. 6502. Regulation: the Distance Contracts Regulation.
• Order System: the SELLER's online system through which orders are placed.
• Product/Service: custom-made PCBs (printed circuit boards), PCBAs (assembled boards), sourced components and related services produced to the BUYER's files.
• Order Files: the Gerber, BOM, Pick & Place and similar production files uploaded by the BUYER and the technical options chosen in the order.
• Manufacturing Partner: the manufacturer that cooperates with the SELLER in producing the order (including JLCPCB).
• Consumer: a natural or legal person acting for purposes outside a trade or profession.

3. Subject and scope

This agreement governs the rights and obligations of the parties regarding the sale and delivery of the Products/Services ordered electronically by the BUYER through the Order System, as described with their characteristics and price in the order summary.

If the BUYER acts for commercial or professional purposes, the Turkish Code of Obligations and Commercial Code apply. If the BUYER is a Consumer, the Law and the Regulation also apply.

4. Ordering process and formation of the contract

• The BUYER uploads the Order Files; the order summary and price are calculated in the Order System or communicated in the SELLER's quote.
• The BUYER reviews the order summary (characteristics, quantity, total price including taxes, shipping cost, payment and delivery information), reads and confirms this text electronically and completes the order.
• Once payment is completed the SELLER confirms the order by email; the contract is formed at that moment. Orders without completed payment are not put into production.
• If the SELLER finds missing or inconsistent Order Files or a manufacturability issue, it informs the BUYER. Production does not start until corrected files or the BUYER's approval arrive, which may extend the delivery time.

5. Characteristics of the Product/Service and the BUYER's responsibilities

The main characteristics (type, quantity, layer count, size, material, surface finish, component list, etc.) are stated in the order summary. Products are made to order from the Order Files; PCB manufacturing is carried out in collaboration with the Manufacturing Partner. Assembly quality follows IPC-A-610 and the AOI, flying probe and ICT tests applied in our manufacturing partner's standard process are performed.

• The BUYER is responsible for the accuracy and completeness of the Order Files (Gerber, BOM, Pick & Place) and for the functionality of the design. The SELLER does not guarantee that the design will perform its intended function.
• The BUYER is responsible for the BOM components being correct, suitable and obtainable. If a part cannot be found or an alternative is needed, the SELLER informs the BUYER; no different component is used without the BUYER's approval.
• The BUYER declares that it holds the necessary rights to the Order Files and that they do not infringe third-party rights.

6. Price and payment

• Prices appear in the order summary in the currency shown in the Order System, stating whether taxes are included or excluded. Price updates after order confirmation do not affect a confirmed order.
• The shipping cost is shown separately in the order summary and paid by the BUYER.
• Payment is made with the methods offered in the Order System. Invoices are issued in line with applicable legislation.
• In case of default on card payments the BUYER is liable to the card-issuing bank for interest and costs under its agreement with the bank. For card security the SELLER may request reasonable additional verification; the order is held until verification is completed.

7. Delivery

• The delivery time is stated in the order summary, the order confirmation or the quote and starts once the Order Files and payment are complete. (For consumers) it can in no case exceed 30 days.
• Products are shipped by courier to the delivery address given by the BUYER, who is responsible for the accuracy of the address and recipient details.
• The BUYER inspects the package on receipt; a dented, torn or damaged package should be accepted only with a damage report drawn up with the courier and notified to the SELLER immediately. Careful storage after delivery is the BUYER's duty.
• (For consumers) If delivery is not made in time the BUYER may terminate the contract; the price is then refunded within the period required by the Law.

8. Defective products and quality

• The BUYER inspects the products without delay on delivery and notifies visible defects in writing at once, with the order number and photos, and hidden defects as soon as they are noticed. For commercial sales the inspection and notice provisions of the Turkish Commercial Code No. 6102 apply; for consumers the Law's provisions on defective goods apply.
• If a defect is attributable to the SELLER, the SELLER and the BUYER agree on re-manufacture, repair or refund as appropriate. (For consumers) the optional rights under the Law remain reserved.
• Issues arising from the Order Files, the BUYER's design or BOM choices, or deviations within IPC acceptance criteria and manufacturing tolerances are not defects.

9. Right of withdrawal (for consumers)

A consumer may withdraw within 14 days of delivery without giving a reason. However, under Article 15(1) of the Regulation there is no right of withdrawal for goods made to the consumer's specifications or personal needs. PCBs, PCBAs and components sourced specifically for the order, made from the Order Files, fall under this exception; there is no right of withdrawal for them.

For standard products (if any) where withdrawal is possible, send your written notice to bilgi@u-tronix.com and return the product unused and in its original packaging. The SELLER refunds the price within 14 days of receiving the notice. Return shipping costs are determined under the Regulation.

10. Cancellation and changes

To cancel or change an order send a written request with the order number to bilgi@u-tronix.com. Requests made before production and sourcing have started are assessed by the SELLER and, if accepted, the price paid is refunded. For custom orders already in production or sourcing, cancellation or change may not be possible; if accepted, production and sourcing costs already incurred may be charged.

11. Force majeure

Events beyond the parties' control that cannot be foreseen and that prevent or delay performance (natural disaster, war, epidemic, strike, customs or transport disruption, production interruption at the Manufacturing Partner, etc.) are force majeure. The SELLER notifies the BUYER, who may request cancellation of the order, replacement with an equivalent product where possible, or postponement until the obstacle ends. On cancellation, the price paid is refunded within 14 days; the time for a card refund to appear depends on the bank's processing time.

12. Intellectual property and confidentiality

Rights in the Order Files belong to the BUYER. The SELLER uses the files only to carry out the order and passes them only for that purpose to the Manufacturing Partner and service providers; it does not share them with third parties for other purposes. Claims arising from the files infringing third-party rights are for the BUYER.

13. Personal data and communication

The BUYER's personal data is processed under the KVKK Privacy Notice and the Privacy Policy. The SELLER may send order-related notices by email or phone. Commercial electronic messages for marketing require separate, explicit consent; accepting this agreement is not marketing consent.

14. Dispute resolution

(For consumers) Disputes are brought, within the monetary limits set by the Law and updated every year, to the Consumer Arbitration Committees, and above those limits to the Consumer Courts, at the BUYER's place of residence or where the consumer transaction took place.

For disputes with commercial buyers the Istanbul Courts and Enforcement Offices have jurisdiction.

15. Entry into force

Before completing the order the BUYER reads and confirms this agreement and the pre-contract information electronically; the date and time of confirmation are recorded in the Order System and a copy of the agreement is sent to the BUYER by email. The agreement takes effect when the order is confirmed.
